Almost nothing about employment is federal in the United States, and that is the first thing to absorb. A company is incorporated in a state, pays payroll taxes at both federal and state level, and operates under employment rules that are mostly local. The US dollar is the currency of pay; contracts and pay statements are drafted in English, with no translation required.
No coordination mechanism comparable to the European Union's applies here. Dealings with France rest on the bilateral social security agreement, which in defined cases allows a posted employee to remain covered by the French scheme and avoids dual contributions. That assessment is made case by case, never as a matter of principle.
One structural point remains: acting as a third-party payroll provider requires no title at all, and any company may do it. The barriers are purely technical, beginning with reporting agent authorisation from the Internal Revenue Service, without which no one files electronically on a client's behalf. Due diligence therefore shifts away from professional titles and towards the authorisations a provider actually holds.
The choice of state comes before everything else. Hiring without a US entity remains possible through an employer of record, but once commercial activity takes root, incorporating becomes the normal route; the state chosen drives taxation, annual filings and the forum for disputes.
Employer registration is never a single step. You need an Employer Identification Number from the IRS, then a withholding account and an unemployment insurance account in every state where an employee works. This is where complexity builds for a company with a dispersed workforce.
Exempt or non-exempt: it is that classification, not the job title, which determines overtime entitlement. No written contract is mandatory and the relationship is in principle terminable at will, subject to contrary agreement or state-specific exceptions, so a carefully drafted offer letter remains essential to fix pay, overtime status and confidentiality undertakings.
Withholding starts with the first payroll run, alongside periodic returns to the IRS and to the state and an annual statement issued to the employee. Workers' compensation insurance is compulsory and arranged at state level, and work authorisation must be checked at the point of hire. Several states add their own leave and pay transparency requirements, which apply to remote employees based there.

The absence of general public health coverage for working-age people unsettles most European employers. Employer-sponsored health insurance becomes a genuine element of remuneration, and it weighs on the package far more heavily than employers used to compulsory social security expect.
Nor is there any social security clearance certificate. Retirement and health contributions are federal taxes collected by the IRS alongside payroll, while unemployment insurance sits with the states, so no body issues anything equivalent to a French attestation de vigilance. A state tax clearance certificate is the closest available document.
Terminology, finally, deserves particular care. The phrase payroll provider covers three legally distinct statuses: reporting agent, section 3504 agent, and certified professional employer organisation. Their liability if payroll taxes go unpaid differs sharply. Knowing which of the three you are dealing with is a risk question, not a semantic one.
